Terms of Service

1. Agreement to Terms

By accessing our website or engaging UpgreatBuzz for marketing, web engineering, or automation services, you agree to comply with and be bound by these Terms of Service.

2. Services & Statements of Work

All custom engagements are governed by an individual Statement of Work (SOW) detailing scope, sprint milestones, deliverables, and payment terms. In the event of a conflict between an executed SOW and these general terms, the SOW will take precedence.

3. Intellectual Property Ownership

Upon full receipt of contractual payments:

• Client Deliverables: All custom code, designs, branding assets, copy, and creative files produced exclusively for the client belong 100% to the client.
• Pre-Existing Tools: UpgreatBuzz retains ownership of pre-existing proprietary frameworks, internal boilerplate templates, and developer tooling used during delivery.

4. Payment Terms & Invoicing

Monthly retainer engagements are billed in advance at the start of each 30-day sprint cycle. Project-based milestones are invoiced upon completion of agreed sprint checkpoints.

5. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages arising out of or related to our service engagement.

6. Governing Law

These terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of New York, USA.
